HealthyLine Partnership Program Terms of Service
By enrolling as a strategic partner in the HealthyLine Partnership Program (“Program”), you agree to be bound by the following terms and conditions (“Terms of Service”).
HealthyLine reserves the right to update and modify the Terms of Service at its discretion without prior notice. Any new features that enhance or extend the current Program, including the release of new tools and resources, shall be subject to the Terms of Service. Continued use of the Program following any such modifications constitutes your acceptance of the changes. Violation of any of the following terms will result in the termination of your account and forfeiture of any outstanding partnership commission payments earned during the period of violation. You agree to use the Program at your own risk.
Account Terms
- Age Requirement: You must be 18 years or older to participate in this Program.
- Prohibition of Automated Registration: Accounts registered by automated methods (“bots”) are prohibited.
- Required Information: You must provide your legal full name, a valid email address, and any other information required to complete the signup process.
- Account Security: Your login may only be used by one person; sharing a single login among multiple people is not permitted.
- Account Responsibility: You are responsible for maintaining the security of your account and password. HealthyLine cannot and will not be liable for any loss or damage arising from your failure to comply with this security obligation.
- Content Responsibility: You are responsible for all content posted and activity that occurs under your account.
- Single Account Limitation: One person or legal entity may not maintain more than one account.
- Legal Compliance: You may not use the Program for any illegal or unauthorized purpose. You must not, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).
- Minimum Advertised Price (MAP) Compliance: The Minimum Advertised Price (MAP) must be consistent with our website.
- Marketplace Sales Restriction: Sales on marketplaces such as Amazon, eBay, Walmart, and others are prohibited unless expressly authorized by HealthyLine.
- Coupon and Deal Site Restriction: Coupon or deal sites are prohibited from participating in the affiliate program unless a special arrangement is negotiated in advance. This special arrangement supersedes these Terms of Service and can be terminated at any time for any reason.
- Coupon Code Restrictions: You are not allowed to publish your coupon codes in a searchable format.
- Medical Claims Restrictions: Resellers cannot make any medical claims or health statements in connection with our sales or advertising that go beyond statements published on HealthyLine.com. Resellers or distributors are entirely independent entities, and HealthyLine is not responsible for any resellers' statements, ads, or actions.
- Tax Collection Responsibility: Resellers are responsible for collecting all appropriate local taxes. Heating pads as medical devices could be sales tax-exempt in some states.
- Tax Information Requirement: We may need to collect your SSN or TAX-ID before we pay any commission.
- Contact Information Requirement: We require a business or personal mailing address for official correspondence.
- Warranty Tracking Requirement: To accurately establish a warranty period for products sold by you, you must maintain receipts with the following information: model number, date of purchase, the client’s contact information (name/address/telephone number), and your information as well.
Links/Graphics on Your Site, Emails, or Other Communications
Upon enrolling in the Program, you will be assigned a unique promotional code. You are permitted to place links, banners, or other graphics we provide with your promotional code on your site, in your emails, or other communications. We will provide guidelines, link styles, and graphical artwork for linking to HealthyLine. We may change the design of the artwork at any time without notice.
To permit accurate tracking, reporting, and referral fee accrual, we will provide you with special link formats to be used in all links between your site and HealthyLine. You must ensure that each of the links between your site and HealthyLine properly utilizes such special link formats. Links to HealthyLine placed on your site pursuant to this Agreement and which properly utilize such special link formats are referred to as “Special Links.” You will earn referral fees only with respect to sales of a HealthyLine product occurring directly through Special Links; we will not be liable for any failure by you or someone you refer to use Special Links or incorrectly type your promotional code, including to the extent that such failure may result in any reduction of amounts that would otherwise be paid to you pursuant to this Agreement.
Partnership Promotion Restrictions
- Prohibited Keyword Bidding: Strategic Partners may NOT bid on HealthyLine branded keywords through AdWords, Bing Ads, Google Shopping, or any other PPC platform. Branded keywords include any combination of keywords such as HealthyLine, Inframat Pro, TAO Mat, etc. Partners who violate this provision will be terminated, and all commissions withheld.
- Prohibition on Link Masking/Cloaking: Strategic Partners may NOT use link masking/cloaking that hides URLs originating traffic. If you need to use tools that mask/hide your links, please contact us for approval on a case-by-case basis.
- Organic and PPC Traffic Restrictions: Strategic Partners may NOT optimize for organic traffic or bid through PPC providers for coupon/discount related keywords like “HealthyLine Coupon,” “Inframat Pro Coupon,” “HealthyLine Deals,” “HealthyLine Discounts,” etc. If your site starts ranking for these keywords by itself, you have two options:
- Page Deletion/Blocking: You can delete the page from your site or block it from all search engines.

- Coupon Code Removal: If you wish to keep the page live, you must remove all mentions of your promotional code from the page text and meta tags. You may use a generic free shipping coupon “freeship” instead. Additionally, you must remove all partnership links to HealthyLine.com, but you may retain reviews of HealthyLine products with neutral links to those articles, without mentioning promotional codes or benefits. You must not imply any guarantees or promises of benefits.
- Prohibition on Coupon/Deals Site Submission: Strategic Partners may NOT submit their individual promotional code to coupon/deals sites such as Coupon Cabin, RetailMeNot, etc. If your coupon is posted to one of these sites, it will be disabled, and a new coupon will be issued.
Referral Fees/Commissions and Payment
For a product sale to be eligible to earn a referral fee, the customer must click through a Special Link from your site, email, or other communications to HealthyLine.com and complete an order during that session. There is a 30-day cookie tracking period during which you can earn commissions if your referral makes a purchase.
We will only pay commissions on links that are automatically tracked and reported by our systems. We will not pay commissions if someone claims they purchased or entered a referral code if it was not tracked by our system. We only pay commissions on business generated through properly formatted special links that were automatically tracked by our systems.
We reserve the right to disqualify commissions earned through fraudulent, illegal, or overly aggressive, questionable sales or marketing methods.
Payments begin once you have earned more than $200 in commissions. If your current partnership earnings exceed $200, your commission will be paid out at the beginning of each month for orders that are over 90 days old. If your account never crosses the $200 threshold, your commissions will not be released or paid.
All US-based accounts are required to have a W-9 form on file to receive payment. Any accounts based outside the US are required to have a W-8 on file to receive payment.
Identifying Yourself as a HealthyLine Strategic Partner
You may not issue any press release regarding this Agreement or your participation in the Program; such action may result in your termination from the Program. Additionally, you may not misrepresent or embellish the relationship between us and you, including stating you develop our products, claiming you are part of HealthyLine, or implying any relationship or affiliation between us and you or any other person or entity except as expressly permitted by this Agreement.
Customer Definition
Customers who purchase products through this Program will be deemed to be our customers. Consequently, all of our rules, policies, and operating procedures concerning customer orders, customer service, and product sales will apply to those customers. We may change our policies and operating procedures at any time. For example, we will determine the prices to be charged for products sold under this Program in accordance with our pricing policies. Product prices and availability may vary from time to time. Since price changes may affect products listed on your site, you should not display product prices on your site. We will use reasonable efforts to present accurate information, but we cannot guarantee the availability or price of any particular product.
Your Responsibilities
You are solely responsible for the development, operation, and maintenance of your site and all materials that appear on your site.
For example, you are solely responsible for:
- Technical Operation: The technical operation of your site and all related equipment.
- Third-Party Compliance: Ensuring the display of Special Links on your site does not violate any agreement between you and any third party (including without limitation any restrictions or requirements placed on you by a third party that hosts your site).
- Content Accuracy: The accuracy, truth, and appropriateness of materials posted on your site (including, among other things, all product-related materials and any information you include within or associate with Special Links).
- Intellectual Property Compliance: Ensuring that materials posted on your site do not violate or infringe upon the rights of any third party (including, for example, copyrights, trademarks, privacy, or other personal or proprietary rights).
- Legal Compliance: Ensuring that materials posted on your site are not libelous or otherwise illegal.
- Disclosure Compliance: Ensuring that your site accurately and adequately discloses, through a privacy policy or otherwise, how you collect, use, store, and disclose data collected from visitors, including, where applicable, that third parties (including advertisers) may serve content and/or advertisements and collect information directly from visitors and may place or recognize cookies on visitors' browsers.
Compliance with Laws
As a condition of your participation in the Program, you agree that while you are a Program participant, you will comply with all laws, ordinances, rules, regulations, orders, licenses, permits, judgments, decisions, and other requirements of any governmental authority that has jurisdiction over you, whether now in effect or later enacted. Without limiting the foregoing, you agree to comply with all applicable laws (federal, state, or otherwise) that govern marketing email, including the CAN-SPAM Act of 2003 and all other anti-spam laws.
Term of the Agreement and Program
This Agreement will commence upon our acceptance of your Program application and will remain in effect until terminated by either party. Either you or HealthyLine may terminate this Agreement at any time, with or without cause, by giving written notice of termination. Upon termination of this Agreement for any reason, you must immediately cease using and remove all links to HealthyLine, along with all of our trademarks, trade dress, logos, and other materials provided by or on behalf of us pursuant to the Program. HealthyLine reserves the right to terminate the Program at any time. Upon termination, HealthyLine will only pay any outstanding earnings accrued above $200 and will be distributed after the 90-day mandatory holding period.
Termination
HealthyLine, at its sole discretion, reserves the right to suspend or terminate your account and refuse any and all current or future use of the Program, or any other HealthyLine service, for any reason at any time. Such termination will result in the deactivation or deletion of your account and the forfeiture and relinquishment of all potential or unpaid commissions in your account if they were earned through fraudulent, illegal, or overly aggressive, questionable sales or marketing methods. HealthyLine reserves the right to refuse service to anyone for any reason at any time.
HealthyLine may also terminate your account due to obligations to third parties. In this case, all accrued commissions will be distributed after the 90-day mandatory holding period.
HealthyLine's Right to Modify and Terminate
HealthyLine reserves the right to freeze, terminate, or alter any partnership or relationship for any reason at its sole discretion. HealthyLine also reserves the right to modify or discontinue any aspect of the Program at any time without prior notice.
No Obligation to Fulfill Orders
HealthyLine reserves the right to refuse to fulfill any orders for resellers or partners who have violated the terms of this Agreement. HealthyLine will not be obligated to complete or process any orders that are found to be in violation of these terms.
Limitation of Liability
To the fullest extent permitted by law, HealthyLine shall not be liable for any indirect, incidental, special, consequential, or exemplary damages arising from or related to your participation in the Program or any aspect of your partnership with HealthyLine. This includes, but is not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses. HealthyLine shall not be responsible for any losses of revenue, investments, or other costs that you may incur in connection with your participation in the Program.
Governing Law and Dispute Resolution
These Terms of Service and any disputes arising out of or related to your participation in the Program shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. By participating in the Program, you agree that any legal action or proceeding arising out of or related to these Terms of Service shall be brought exclusively in the state or federal courts located in New York County, New York. You also agree that no foreign entities or countries shall have the right to sue HealthyLine under these Terms of Service.
Indemnification
You agree to indemnify, defend, and hold harmless HealthyLine and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) that HealthyLine may incur as a result of or arising from your participation in the Program, including but not limited to any violation of these Terms of Service.
Miscellaneous
These Terms of Service constitute the entire agreement between you and HealthyLine regarding your participation in the Program, superseding all prior agreements and understandings, whether written or oral. If any provision of these Terms of Service is found to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable. HealthyLine’s failure to enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.
By participating in the HealthyLine Partnership Program, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
Privacy and Confidentiality
You agree to respect and protect the privacy and confidentiality of any proprietary or sensitive information obtained through your participation in the Program. This includes, but is not limited to, customer data, sales information, marketing strategies, and other proprietary business information. You must not disclose any confidential information to any third party without prior written consent from HealthyLine.
Use of Materials
HealthyLine grants you a limited, non-exclusive, non-transferable license to use materials provided by HealthyLine for the sole purpose of promoting HealthyLine products and participating in the Program. This license shall terminate upon termination of this Agreement. Upon termination, you must immediately cease using and remove all HealthyLine materials from your site, emails, and other communications.
Prohibited Activities
You agree not to engage in any activities that may harm HealthyLine’s reputation or business interests. This includes, but is not limited to, the use of deceptive or misleading advertising, false claims about HealthyLine products, or any form of spam or unsolicited commercial email. HealthyLine reserves the right to take legal action against any partner engaged in prohibited activities.
Partner Code of Conduct
As a participant in the Program, you are expected to conduct yourself in a professional and ethical manner. You must comply with all applicable laws and regulations and adhere to the highest standards of business conduct. Failure to do so may result in the termination of your account and forfeiture of any outstanding commissions.
Health and Safety Compliance
You must ensure that all promotions and representations of HealthyLine products comply with applicable health and safety regulations. Any claims about the health benefits or medical uses of HealthyLine products must be based on official HealthyLine marketing materials and approved by HealthyLine. You must not make any unapproved health or medical claims about HealthyLine products.
Insurance Requirement
You agree to maintain adequate insurance coverage for your business activities, including but not limited to general liability insurance, product liability insurance, and any other insurance coverage required by law. HealthyLine may request proof of insurance coverage at any time.
Data Protection
You agree to comply with all applicable data protection laws and regulations, including but not limited to the General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA). You must implement appropriate technical and organizational measures to protect personal data against unauthorized access, disclosure, alteration, and destruction.
